Introduction

Flyoria operates as a host travel agency, providing independent travel advisors (“Agents”) with access to suppliers, booking tools, and support services. These terms apply to Agents who use Flyoria’s Services to book travel and services for their clients, as well as any other visitors who access our website and content.

Use of Services

You must be at least 18 years old to register as an independent travel advisor with Flyoria.

By using Flyoria’s Services, you, as an independent travel advisor (the “Agent”), agree to conduct yourself in a professional and ethical manner. Specifically, you agree to:

  • Comply with all applicable laws, regulations, and industry standards.
  • Treat clients, suppliers, and other third parties with respect and professionalism.
  • Provide accurate and honest information to clients, ensuring clarity in all communication and transactions.
  • Comply with the policies and terms of any suppliers or third-party platforms that you access via Flyoria’s systems.
  • Maintain the confidentiality of your account details, including login credentials, and prevent unauthorized access or misuse of the services.
  • Any conduct that is deemed inappropriate or harmful to Flyoria’s operations, reputation, or relationships with clients and suppliers will be considered a breach of these Terms of Use and may result in the termination of your relationship with Flyoria.

Prohibited Activities

As an Agent using Flyoria’s Services, you are prohibited from engaging in the following activities:

  • Fraudulent or Misleading Behavior: Engaging in any deceptive or fraudulent activities, including misrepresenting services, suppliers, or prices.
  • Unauthorized Use of Services: Using Flyoria’s platform, systems, or services for purposes other than authorized travel-related activities, such as illegal activities or activities that violate the rights of others.
  • Intellectual Property Violations: Reproducing, distributing, or otherwise infringing on the intellectual property rights of Flyoria, suppliers, or other third parties without permission.
  • Data Scraping or Hacking: Attempting to access or gather information from Flyoria’s website, systems, or database through unauthorized means (e.g., scraping, data mining, or hacking).
  • Spamming or Unsolicited Communications: Sending unsolicited promotional materials or communications that could be classified as spam to clients or third parties.
  • Abuse of Client Trust: Engaging in practices that could harm the reputation of Flyoria or violate the trust of clients, such as making false promises, misleading sales tactics, or overcharging.
  • Failure to Comply with Supplier Policies: Violating the terms, policies, or conditions set forth by any suppliers or third-party vendors used through Flyoria’s platform.

Violation of any of these prohibited activities may lead to immediate termination of your access to Flyoria’s Services, legal action, and the withholding of commissions or other payments.

Intellectual Property

Flyoria’s website, Services, and any associated content, including but not limited to text, graphics, logos, images, and software, are the property of Flyoria or its licensors and are protected by applicable intellectual property laws. By using Flyoria’s Services, you agree to the following:

  • License to Use: Flyoria grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for the purpose of conducting travel-related business as an independent travel advisor. You are not authorized to modify, reproduce, distribute, or otherwise use Flyoria’s intellectual property for any unauthorized purposes.
  • Ownership: All intellectual property rights in Flyoria’s systems, website, logos, trademarks, and content remain the exclusive property of Flyoria or its licensors. You may not use Flyoria’s intellectual property without express written consent.
  • Supplier Intellectual Property: Any materials, logos, trademarks, or content related to suppliers or third-party vendors accessible through Flyoria’s platform are the property of those respective entities. You agree to respect and abide by the intellectual property rights of these third parties.

Failure to comply with Flyoria’s intellectual property policies may result in legal action, including claims for infringement.

Registration and Account Security

To access Flyoria’s Services, you must create an account as an independent travel advisor. You are responsible for maintaining the confidentiality of your account details, including your username and password, and for all activities that occur under your account.

You agree to notify Flyoria immediately if you suspect any unauthorized use of your account.

Bookings & Payments

Flyoria provides access to supplier booking platforms, and all bookings made through these platforms are subject to the supplier’s terms and conditions. You are responsible for ensuring that all bookings are made accurately, including client information, travel dates, and payment details.

Flyoria will process commissions and service fees in accordance with the commission structure outlined in your agreement with Flyoria. Payments to Agents will be processed according to Flyoria’s payout schedule.

Limitation of Liability

Flyoria acts as an intermediary between independent agents and suppliers (e.g., airlines, hotels, tour operators) and is not liable for losses, damages, or disputes arising from third-party services.

Flyoria is not liable for delays, cancellations, force majeure events (e.g., natural disasters, pandemics, strikes), or missed travel connections that may occur during the course of travel.

Privacy and Data Protection

Flyoria is committed to protecting your personal information. By using our Services, you agree to our Privacy Policy, which outlines how we collect, use, and protect your personal data.

Indemnification

You agree to indemnify, defend, and hold harmless Flyoria, its affiliates, officers, directors, employees, and agents from any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or related to your use of Flyoria’s Services or violation of these Terms of Use.

Term and Termination

This Agreement is effective as of the date you begin using Flyoria’s Services and remains in effect until terminated by either party. You may terminate your relationship with Flyoria by ceasing all use of the Services and notifying Flyoria in writing.

Flyoria may terminate this Agreement or suspend your access to the Services at any time for violation of these Terms of Use or for any other reason at its discretion.

Modifications to Terms

Flyoria reserves the right to update or modify these Terms of Use at any time. Any modifications will be effective immediately upon posting on our website, and your continued use of the Services constitutes acceptance of the revised terms.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising out of or related to these Terms shall be resolved exclusively in the courts located in Ontario, Canada.
